Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “Merchant”), and Smart QR Review (“we,” “us,” or “our”), concerning your access to and use of the reputation management and review automation platform located at https://smartqrreview.vetechno.net/.

By creating an account, selecting a subscription, scanning platform QR codes, or accessing our dashboard, you confirm that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with any part of these Terms, you are prohibited from using our services.

To use the Smart QR Review features, you must register for a merchant account. You agree to:

• Provide accurate, current, and complete business registration data.
• Maintain the confidentiality of your account credentials (email and password).
• Promptly update account profiles, billing details, and Google Business links when changes occur.
• Accept full responsibility for all activities, integrations, and content transactions initiated under your credentials.

We reserve the right to remove, reclaim, or change username selections or business subdomains if we determine they are inappropriate, offensive, or violate third-party trademark rights.

We grant you a non-exclusive, non-transferable, revocable, limited license to access our platform solely to configure review routing bridges, generate QR codes, capture customer ratings, and analyze feedback dashboards in accordance with your subscription plan permissions.

Prohibited Activities: You explicitly agree that you will not:

• Systematically retrieve data or interface with our databases to compile files, directories, or competitor lists without our written consent.
• Bypass, disable, or interfere with security features or rate-limiting thresholds of the platform.
• Utilize unauthorized automated scripts, bots, spiders, or scrapers to copy content or register bulk accounts.
• Use the private feedback channel to extort, harass, or threaten end-customers.
• Create or purchase fake Google reviews or engage in review manipulation schemes that violate the guidelines of Google or consumer protection agencies.

Smart QR Review provides AI-generated review suggestions for customers and an AI Smart Reply tool for Merchants to draft replies to reviews.

Our platform relies on integrations with Google API services to link review pages and fetch reviews.

Independence Statement:

Smart QR Review is an independent software platform and is NOT affiliated with, endorsed by, sponsored by, or associated in any way with Google LLC, Alphabet Inc., or Google Business Profile services.

We have no control over Google's algorithms, review moderation guidelines, account suspensions, or content removal policies. We do not guarantee that customer reviews drafted on our platform will be approved, posted, or retained by Google, and we are not liable for any changes Google makes to its terms of service.

Some features of the platform require a paid subscription. You can purchase subscriptions for the following tiers: **Starter (with 3-Day Free Trial)**, **Growth**, **Pro**, and **Premium**.

• Manual Payments: By subscribing, you agree to make a manual, one-time payment for the duration of the cycle selected. The platform does not support automatic recurring billing, card storage for auto-renewals, or automatic debiting.
• Trial Expiration: The Starter Plan 3-Day Trial is card-free and does not automatically convert to a paid subscription. Upon expiration of the 3 days, access is automatically restricted until a manual purchase is completed.
• Plan Expiry: If you fail to manually renew your subscription before its expiration date, the plan will automatically downgrade to the Starter tier, and access to premium analytics and custom bridges will be restricted.

Unless otherwise indicated, the platform, website, code base, design layouts, graphics, database schemas, and logos (collectively, the “Content”) are our proprietary property and are protected by copyright, trademark, and trade secret laws.

You may not copy, reproduce, aggregate, republish, distribute, sell, or exploit any part of our intellectual property without prior written permission. All QR codes, layout configurations, and review reports generated specifically for your business belong to you and can be exported as desired.

We reserve the right, in our sole discretion, to suspend or terminate your account and block access to the platform without prior notice if:

• You breach these Terms or any applicable compliance guidelines.
• We suspect fraudulent, abusive, or illegal activity under your account.
• Your account is flagged for manipulating Google reviews (e.g. buying fake ratings, generating spam reviews).
• You fail to resolve billing errors or pay subscription fees.

Upon termination, all licenses granted under these terms terminate immediately, and you must cease using all platform widgets and printed QR codes that link to our routing bridges.

To the maximum extent permitted by law, Smart QR Review, its directors, employees, or partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, customer goodwill, or business operations, arising out of:

• Your use or inability to use the platform.
• Any bugs, downtime, or network service interruptions.
• Third-party action, review deletion, or account suspension by Google.
• Any unauthorized access, modification, or loss of customer feedback texts.

Our total aggregate liability under this agreement will not exceed the total subscription fees paid by you to us during the three (3) months preceding the event that gave rise to the liability.

These Terms and your use of the platform are governed by the laws of Delhi, India, without regard to conflict of law principles.

Informal Negotiations: Before initiating arbitration or legal action, you and Smart QR Review agree to attempt to resolve any dispute informally for at least thirty (30) days by contacting our support team at support@vetechno.net.

If a dispute cannot be resolved informally, it shall be settled exclusively in the competent courts located in New Delhi, Delhi, India.
